Reference is made to the composite circular of CR Logic and CSMC Technologies Corporation
("CSMC") dated 16th January, 2008 in relation to an amalgamation proposal and capital reorganisation
which, if implemented, will result in the amalgamation of semiconductor businesses of CR Logic and
CSMC under CSMC, the acquisition of Redland Concrete Limited by CR Logic from China
Resources (Holdings) Company Limited and a capital reorganization of CR Logic which will enable
its shareholding in CSMC to be distributed in specie to the shareholders of CR Logic. Reference is
also made to the joint announcement of CR Logic and CSMC dated 13th February, 2008 setting out the
results of the companies' respective special general meeting and extraordinary general meeting in
relation to such amalgamation proposal and capital reorganization; the announcement of CR Logic
dated 22nd February, 2008 setting out the revised expected timetable for the capital reorganization of
CR Logic; and the joint announcement of CR Logic and CSMC dated 29th February, 2008 setting out
the results of CR Logic's adjourned special general meeting in relation to the reduction of share capital
and cancellation of share premium of CR Logic and the arrangement for odd lot trading of
consolidated CR Logic shares and CSMC shares.
